C&S Wholesale Grocers has reached an agreement to acquire SpartanNash, a Michigan-based grocery distributor and retailer, in a transaction that strengthens its national footprint and further consolidates the food distribution sector.
Under the deal, C&S will pay USD20.50 per share in cash for SpartanNash, valuing the company at approximately USD1.3 billion, including debt. The purchase price represents a significant premium to SpartanNash’s recent trading levels, and the transaction has been unanimously approved by SpartanNash’s board of directors.
SpartanNash operates a dual business model that includes distribution services to independent and chain grocery stores as well as a portfolio of retail banners, including Family Fare, D&W Fresh Market and Martin’s Super Markets. The company serves more than 2,100 independent grocery locations across the Midwest and Southeast.
The deal positions C&S to expand its reach beyond its traditional wholesale base, which includes supply agreements with major grocery chains, government agencies, and military commissaries. It also underscores the growing demand for supply chain resilience and scale in the grocery industry, where inflationary pressure and shifting consumer preferences have made operational efficiency a top priority.
Following the close of the transaction, expected in the fourth quarter of 2025, SpartanNash will become a privately held subsidiary of C&S. The companies plan to continue operating under their existing brand names, and no immediate changes to leadership or operations have been announced.
The acquisition comes amid ongoing consolidation in the grocery sector as distributors and retailers seek scale, technology investments, and broader geographic reach to compete in an increasingly omnichannel market.
